Digital Signature Certificate (DSC) for Company Registration: Types, Uses and How to Apply
Starting a company in India involves more than choosing a name and preparing incorporation documents. If you're registering a Private Limited Company through the MCA portal, the proposed directors and subscribers may need a Digital Signature Certificate (DSC) to sign the electronic incorporation documents. For many founders, this is one of the first compliance steps they encounter.
A digital signature certificate for company registration is an electronic certificate used to authenticate a person's identity when signing documents digitally. For incorporation, the DSC is used with the MCA's electronic filing system, including SPICe+ and linked forms. MCA guidance states that where the relevant subscriber/director conditions apply, each subscriber or director signing the eMoA and eAoA may need a DSC.
What is a digital signature certificate for company registration?
A Digital Signature Certificate, or DSC, is an electronic credential that allows a person to authenticate and sign documents digitally. It is issued to the individual or organisation by a Certifying Authority licensed under India's digital-signature framework.
For company incorporation, the important point is that a DSC belongs to the person signing, not simply to the proposed company. If two founders are both required to sign incorporation documents, you should assess the DSC requirement for each person rather than assuming that one certificate can cover everyone.
The MCA's SPICe+ FAQs state that where the number of subscribers and/or directors to eMoA and eAoA is up to 20 and all have DIN/PAN, obtaining a DSC is mandatory for each such subscriber and/or director. Special cases can have different requirements.
If you're still preparing your incorporation paperwork, it helps to keep the DSC process alongside your document checklist rather than treating it as an afterthought. Chandwani & Company's guide to the documents required for Private Limited Company registration covers the wider documentation you may need before filing.
Which type of DSC do you need for company registration?
For MCA-related work, the certificate class and intended usage should be checked against the current MCA and Certifying Authority requirements. Class 3 DSC is a higher-assurance certificate under India's PKI framework and uses a hardware cryptographic device for private-key storage.
A common mistake is to buy a DSC simply because the product description says it is suitable for "government filing." The certificate needs to contain the information and assurance level required by the particular portal and service. The CCA also states that a higher-assurance Class 3 certificate can be used where a Class 2 certificate is required.
DSC Class 3 certificate: what does it mean?
A DSC Class 3 certificate is a digital certificate issued after the identity-verification requirements prescribed for Class 3 certificates have been satisfied. The CCA specifies hardware-based storage requirements for Class 3 private keys.
For a company director, an Individual DSC is generally the relevant concept because the director is signing in an individual capacity. Don't confuse this with an organisational or document-signer certificate. The CCA specifically states that a document signer certificate is not a replacement for the signature of an authorised signatory.
Why is a DSC required for company incorporation?
The MCA filing system uses digital signatures to authenticate electronic filings. The DSC connects the electronic signature with the person authorised to sign the relevant document or form.
During incorporation, this can affect documents such as the electronic Memorandum of Association and Articles of Association, depending on the structure and circumstances of the incorporation. MCA's SPICe+ documentation also explains the situations in which eMoA and eAoA are used and when exceptions may apply.
This is where founders sometimes lose time. They prepare the company name, registered-office documents and identity proofs, then discover that one subscriber still has no usable DSC. The incorporation application may then need to wait while that person's certificate is obtained and correctly associated.
A practical approach is to identify every person who will sign before you start the final filing. That gives you time to resolve name mismatches, verification issues or expired certificates before the incorporation application reaches the signing stage.
How to apply for digital signature certificate in India?
To apply for a DSC, you normally select a licensed Certifying Authority, choose the appropriate certificate type and complete the identity-verification process. The CCA maintains information about licensed Certifying Authorities and explains that DSCs for end users are issued by those authorities, not directly by the CCA.
The exact screens and verification method vary between Certifying Authorities, so don't rely on a fixed sequence copied from an older guide. The verification options can include Aadhaar-based eKYC, document-based verification and video verification, depending on the CA and applicable process.
Step 1: Identify who needs the DSC
Start with the proposed directors and subscribers who will sign the incorporation documents. MCA's SPICe+ requirements determine who needs to obtain and associate a DSC in the relevant filing scenario.
Step 2: Choose a licensed Certifying Authority
The CCA publishes the list of licensed Certifying Authorities. Use that list rather than choosing an unknown provider solely because it advertises the lowest price.
Step 3: Complete identity verification
You will generally provide the identification and contact information requested by the Certifying Authority and complete its prescribed verification process. The exact documents and method can vary.
Check the spelling of the applicant's name carefully. A mismatch between PAN details, the DSC application and MCA records can create avoidable problems later.
Step 4: Receive and activate the DSC
Once the application is approved, the certificate and its associated signing key are made available through the mechanism specified by the Certifying Authority. For Class 2 and Class 3 certificates, CCA guidance requires the private key to be stored in an approved hardware cryptographic device.
Keep control of the token and PIN with the subscriber. The CCA specifically explains that the signature created using the signing key is treated as the subscriber's signature, making custody of the signing device an important practical responsibility.
How is DSC used by a company director?
A DSC for company director is used when the director needs to authenticate and digitally sign applicable electronic filings. During incorporation, the DSC may be associated with the appropriate MCA user role and then used for signing the required forms or linked documents.
MCA's current V3 guidance provides an Associate DSC facility and requires users in relevant roles to register their DSC with the MCA system. The MCA also notes that users should create or use the appropriate V3 business-user profile for DSC-related services.
The important distinction is between obtaining a DSC and associating it with MCA. Getting the certificate does not automatically mean that your MCA profile is ready to sign a form.
If the DSC is already available but isn't working during filing, check the certificate validity, token connection, required utility, user role and MCA association before purchasing another certificate. Buying a second DSC is not always the solution.
What documents are required for a DSC?
The exact requirements depend on the Certifying Authority and certificate type, but applicants should be prepared to provide identity and contact information and complete the required verification process. The CCA identifies Aadhaar eKYC and other approved verification routes for DSC applicants.
For company incorporation, you should also keep your PAN, Aadhaar or other accepted identification documents and MCA-related information consistent with the details being used in the incorporation application.
Don't prepare documents in isolation. If the name on your PAN differs from the name you are entering elsewhere, resolve that issue before you reach the signing stage. A few minutes spent checking the details can prevent a much longer filing delay.
Can one DSC be used for multiple government portals?
A DSC is not necessarily restricted to one government portal. The CCA states that a person does not ideally need multiple certificates for different applications, although a higher-assurance certificate or additional certificate information may be required where a particular application demands it.
That means a director may use an appropriate DSC for other permitted digital-signature requirements as well. However, portal registration is separate. A certificate that exists does not automatically become registered and usable everywhere.
The same principle applies when a DSC expires or needs updating. The Income Tax Department, for example, requires users to register their DSC on its e-Filing portal and explains that a DSC needs to be re-registered after expiry or when the user wants to update the registered certificate.
What should you do before filing company incorporation documents?
Before you submit the incorporation application, work through the process in this order:
-
Confirm the proposed company structure and people involved.
-
Identify the directors and subscribers who need to sign.
-
Check their PAN, identity and address details.
-
Obtain the appropriate DSC for each relevant person.
-
Complete the required DSC association with MCA.
-
Prepare SPICe+ and the linked incorporation forms.
-
Check eMoA, eAoA and other supporting documents.
-
Compare names and other personal details across the entire application.
-
Complete the digital signing process.
-
Submit the application and monitor MCA communication for further action.
This sequence matters. A DSC isn't a substitute for correct incorporation documents, and having all documents ready doesn't help if the required signatory cannot complete the digital signing step.
If you're still deciding whether a Private Limited Company, LLP or Partnership structure fits your plans, Chandwani's guide comparing Private Limited Company vs LLP vs Partnership Firm explains the differences in ownership, liability, funding and compliance.
For founders who already know their structure and want help moving from paperwork to filing, Chandwani & Company's Company Registration service provides assistance with documentation and government approvals for Private Limited Companies, LLPs, Partnerships and Proprietorships.
If you're starting alone, don't automatically assume that a Private Limited Company is your only route. An OPC has different eligibility and compliance considerations, and Chandwani's OPC registration guide covers that structure separately.
What should you do if your DSC is not working?
First, check whether the certificate has expired and whether the correct certificate is appearing when you connect the token. Then verify that the required MCA utility and user association are configured correctly.
MCA's V3 guidance specifically refers to DSC association and the required software environment. If the certificate is valid but MCA still doesn't recognise it, check the user role and association rather than immediately applying for another DSC.
If the problem involves a mismatch in personal details, an expired certificate or a certificate issued for the wrong purpose, the appropriate correction depends on the specific error. Keep the exact portal message available before contacting the Certifying Authority or filing professional.
Frequently Asked Questions
Is DSC mandatory for company registration in India?
For applicable SPICe+ incorporation cases, DSC is mandatory for the subscribers and/or directors who are required to sign the relevant electronic incorporation documents. MCA states that where the number of subscribers and/or directors to eMoA and eAoA is up to 20 and all have DIN/PAN, each such person must obtain a DSC.
Which DSC is required for a company director?
The appropriate DSC depends on the MCA filing and current certificate requirements. A director generally uses an Individual DSC because the certificate identifies the person signing. Class 3 is a higher-assurance certificate and can be used where a lower Class 2 assurance level is accepted.
How long does it take to get a DSC?
There isn't one universal processing time because the process depends on the Certifying Authority, verification method, document accuracy and delivery or activation method. Online verification can simplify the process, but you should confirm the current turnaround time directly with the licensed CA you choose.
Can I use my existing DSC for company incorporation?
Possibly, provided the certificate is valid, contains the information required for the filing and is accepted for the relevant MCA service. You may also need to associate the DSC correctly with your MCA V3 user profile. Check the certificate details before purchasing a new one.
Is a DSC required separately for every director?
Where MCA requires each subscriber or director signing the relevant eMoA/eAoA documents to obtain a DSC, each applicable individual needs their own certificate. A director cannot simply use another person's DSC because a digital signature is tied to the subscriber whose identity the certificate represents.
Can I register a company without professional help?
You can complete company incorporation through the MCA system yourself. Professional assistance becomes more useful when there are multiple subscribers, foreign participants, unusual registered-office arrangements, document inconsistencies or uncertainty about the appropriate filing route. The main objective is accurate preparation and correct submission, not simply using an intermediary.
If you already have your proposed directors, subscribers and registered-office documents ready but aren't sure about the DSC and MCA filing sequence, Chandwani & Company can assist with the company registration process and related documentation.
